Terms of Service

Last updated · Version 2026-11-02

The agreement between your business and Sianipar Consults LLC, the company that sells and runs Ayebridge. Please read it before you subscribe.

1. Who you contract with

These Terms of Service (the “Terms”) are an agreement between you and Sianipar Consults LLC, a Missouri limited liability company (Missouri charter number LC014758768), trading as Ayebridge, with its business address at c/o United States Corporation Agents, Inc., 1028 N Kingshighway St, Cape Girardeau, MO 63701-3503, United States (“Ayebridge”, “we”, “us”). They cover the Ayebridge website at ayebridge.com, the Ayebridge application, client portals and every related service we provide (together, the “Service”).

Sianipar Consults LLC is the seller of every Ayebridge subscription and the party you contract with. We set the prices, issue the invoices, decide refunds and answer billing questions. Stripe processes card and other payments for us as our payment service provider (see Stripe and other third-party services).

“You” means the person accepting these Terms and, if you accept them for a business or other organization, that organization. In that case you confirm that you are authorized to bind it.

2. Accepting these Terms

You accept these Terms by ticking the box at sign-up, and again when you agree to them at checkout before you buy a subscription. We record which version you accepted and when. The version shown at the top of this page is the current one.

These Terms include, by reference, our Refund and Cancellation Policy, our Acceptable Use Policy, our Copyright and Takedown Policy and, where we process personal data for you, our Data Processing Addendum. Our Privacy Policy explains how we handle personal data as a controller. If these Terms and one of those documents conflict, these Terms apply, except that the Data Processing Addendum applies to the processing of personal data.

If you do not agree to these Terms, please do not use the Service.

3. Eligibility and business use

Ayebridge is built for freelancers, agencies and other businesses that deliver work to their own clients. You may create an account only if you are at least 18 years old and able to form a binding contract, and you use the Service for your trade, business or profession.

You may not use the Service if you are barred from receiving it under the laws that apply to you, including export control and sanctions laws, or if we have previously terminated your account for a breach of these Terms.

If the law where you live treats you as a consumer and gives you rights that a contract cannot remove, nothing in these Terms takes those rights away.

4. What Ayebridge is, and what it is not

Ayebridge is client portal and project approval software. It gives each of your clients a private portal where your team posts project updates, shares deliverables and their versions, asks for approvals, requests what it needs from the client, and shares quote and invoice documents.

It is not:

  • a file hosting, file sharing or public distribution service. Files exist to support a project with the client contacts you invite. There are no public download pages; downloads use signed links that expire after a few minutes.
  • a payment service. Ayebridge never collects or moves money between you and your clients. Quotes and invoices are documents only, and you set their status yourself.
  • a marketplace. We do not introduce you to clients or clients to you, and there is no public directory.

We describe the features of each plan on the pricing page. We may improve, change or remove features over time. If we remove a feature that is a material part of a plan you have paid for, we will tell you in advance and, if you cancel because of it, refund the unused part of your current billing period.

5. Accounts and security

  • Give accurate information when you sign up and keep your email address current. We send important notices there.
  • Keep your password private and do not share accounts. Each team member needs their own account. We recommend turning on two-factor authentication.
  • You are responsible for activity in your account and workspace, including activity by people you invite.
  • Tell us at security@ayebridge.com as soon as you suspect unauthorized access to your account.

You must confirm your email address before you can invite clients or teammates.

6. Workspaces and roles

When you sign up you create a workspace, the account that holds your clients, projects and settings. The person who creates it is its Owner. The Owner controls billing and is the only person who can delete the workspace or transfer ownership. Admins manage the team, clients and settings. Members do the day-to-day work. Finer permissions are available on some plans.

The Owner acts for the workspace towards us. If the Owner is an individual acting for an organization, the organization is the customer. We may rely on instructions from the Owner and from Admins. If people disagree about who controls a workspace, we may ask for reasonable evidence and may restrict changes until it is resolved.

7. Client contacts you invite

You can invite people who work for your clients (“client contacts”) to a client portal. They sign in with an emailed link and see only the portal of the client they belong to. Client contacts use the Service on your behalf, so:

  • invite only people you have a working relationship with, and only to the portal of their own client;
  • you are responsible for having a lawful basis to share their information and your content with them, and for removing access when it is no longer needed;
  • client contacts must follow our Acceptable Use Policy, and you are responsible for what they upload to your workspace.

Client contacts do not pay us and do not enter into a subscription with us. Our relationship with them is described in the Privacy Policy.

8. Your content

“Your content” means everything you, your team and your client contacts put into the Service: files and their versions, updates, comments, approvals, requests, quote and invoice documents, branding and settings.

You keep ownership of your content. You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit and display it only as needed to provide, secure and support the Service for you, to keep backups, and to comply with the law. For example, we make preview images of files and render documents as PDFs. The license ends when your content is deleted from our systems as described in Your data after a trial or subscription ends.

You confirm that you have the rights needed to put your content into the Service and to share it with the people you invite, and that it does not break the law or these Terms. We do not review content before it is uploaded, but we may act on content that is reported to us or that we otherwise become aware of (see Suspension and termination).

Approval records are designed to be a reliable history: once a client contact approves or asks for changes, that decision, who made it and when cannot be edited. Deleting the workspace deletes them too, so export them first if you need to keep them.

9. Our intellectual property

The Service, including its software, design, text, graphics and the Ayebridge name and logo, belongs to Sianipar Consults LLC or its licensors and is protected by intellectual property laws. During your subscription or trial we give you a limited, non-exclusive, non-transferable right to use the Service for your business under these Terms. We keep every right we do not expressly give you.

If you send us ideas or feedback, we may use them without any obligation to you. A “Powered by Ayebridge” notice appears on portals on some plans; please do not hide it on those plans other than through the settings we provide.

10. Acceptable use and prohibited uses

You must follow our Acceptable Use Policy. In particular, you must not use the Service:

  • as a file hosting, file storage or file distribution service, for example to publish files to the public, to people outside a client relationship, or as a download location for software, media or other material;
  • to upload or share malware, executables designed to run on someone else’s device, or anything meant to harm systems or data;
  • to store or share content that is illegal, infringes someone else’s rights, or is sexually explicit;
  • to send spam or unsolicited messages, or to invite people you have no working relationship with;
  • to collect payments, or to run any business that Stripe or the card networks prohibit;
  • to break, probe or overload the Service, get around plan limits or security controls, access another customer’s data, or scrape the Service;
  • to resell or sublicense the Service, or to build a competing product from it.

Executable and script file types are blocked by default. Report abuse at ayebridge.com/report-abuse or abuse@ayebridge.com, and copyright complaints as described in our Copyright and Takedown Policy.

11. Plans, prices and billing

Our plans, their prices and their limits are listed on the pricing page. Each plan is available with monthly or yearly billing. Prices in USD. Applicable sales tax/VAT is calculated at checkout.

You buy a subscription through a checkout page hosted by Stripe. Before you pay, the checkout shows the plan, the billing period, the price, any tax and the total, and asks you to agree to these Terms and our Refund and Cancellation Policy. The first payment is taken when you subscribe. Each later payment is taken at the start of the next billing period, using the payment method on file.

A receipt or invoice is emailed for every payment. Invoices are issued by Sianipar Consults LLC. You can download past invoices and update your payment method and billing details at any time from Billing in your workspace, which opens the Stripe customer portal. Charges appear on your statement as AYEBRIDGE.COM.

All fees are in US dollars and, apart from the refunds described in these Terms and our Refund and Cancellation Policy, are not refundable.

12. Automatic renewal

Your subscription renews automatically at the end of each billing period, monthly or yearly depending on what you chose, until you cancel. On each renewal we charge the payment method on file the price of your plan for the new period, plus any applicable tax. By subscribing, you authorize us, through Stripe, to take those recurring payments until you cancel.

Your renewal date and the amount of the next charge are always shown on the Billing page in your workspace and in the Stripe customer portal. For yearly plans, we email a reminder to your billing email address before each renewal.

13. How to cancel

You can cancel at any time, online, without contacting us:

  1. Sign in as the workspace Owner or an Admin and open Billing in your workspace.
  2. Select “Manage subscription”. This opens the Stripe customer portal.
  3. Choose “Cancel subscription” and confirm.

Cancellation takes effect at the end of the current billing period. You keep full access until then and you are not charged again. After that, the workspace becomes read-only: you and your client contacts can still sign in, view and download, but you cannot add or change anything. Nothing is deleted when a subscription ends, and your data is kept for at least 30 days (see Your data after a trial or subscription ends). Until the period ends you can undo the cancellation from the same page.

If you cannot use the portal, email support@ayebridge.com from your account email and we will cancel for you. Canceling does not by itself refund the current period; refunds, and their effect on the subscription, are covered under Refunds.

14. Price changes

We may change our prices. If a change affects your subscription, we will email the workspace Owner at least 30 days before it applies. The new price applies from your next renewal after the notice period, never to a period you have already paid for. If you do not want to pay the new price, cancel before that renewal and you will not be charged it.

15. Taxes

Our prices do not include taxes. Where we are required to charge sales tax, VAT, GST or a similar tax, it is calculated at checkout by Stripe Tax based on your billing address and any tax ID you provide, shown to you before you pay, and added to each charge. You are responsible for giving us accurate billing details.

If you give a valid business tax ID and the reverse-charge rules apply, tax may not be charged and you account for it yourself. You are responsible for any taxes, other than taxes on our income, that apply to your purchase and that we do not collect.

16. Failed payments

If a renewal payment fails, your subscription becomes past due. We email the workspace Owner so the payment method can be updated from Billing, and Stripe retries the payment automatically over the following days. While the subscription is past due you keep access and can update the payment method, but plan changes are paused.

If the payment still fails after Stripe’s final retry, the subscription is canceled and the workspace becomes read-only, exactly as after a cancellation. Nothing is deleted. You can subscribe again at any time to unlock the workspace.

17. Changing plans

You can upgrade, downgrade or switch between monthly and yearly billing from Billing in your workspace. Before you confirm, the Stripe customer portal shows what you will pay. Upgrades and downgrades apply straight away. An upgrade is charged pro rata for the rest of the current period, and a downgrade leaves a credit that is applied to your next invoices, as Stripe calculates them.

If your workspace uses more than a lower plan allows (for example more active clients or storage), nothing is deleted and nothing becomes read-only. Existing items stay available, and adding new ones of that kind is paused until you are back within the limit or upgrade.

18. Refunds

Every plan comes with a 30-day money-back guarantee on its first payment, monthly or yearly. A renewal charge is refunded if you ask within 14 days of the charge and the workspace has not been used since it renewed. Other refunds of partial periods are not given, except where the law requires them or these Terms say so.

A refund of a first payment or of a renewal cancels the subscription immediately, and the workspace becomes read-only; nothing is deleted. If you ask for a renewal refund because you wanted a different plan or billing period, we will move you to that plan instead of canceling, if you ask us to.

The details, including how to ask and how long a refund takes to arrive, are in our Refund and Cancellation Policy, which forms part of these Terms.

If you have a problem with a charge, please contact us at billing@ayebridge.com or support@ayebridge.com before you dispute it with your bank. While a payment dispute is open, we may pause plan changes for the workspace. We will provide the bank with the information it asks for, including the record of your acceptance of these Terms.

19. Free trial

New workspaces start with a free trial of 14 days. During the trial, the trial limits shown on the pricing page apply.

  • No card is needed to start the trial, and we do not hold any payment details during it.
  • The trial never turns into a paid subscription on its own. You are only charged if you choose a plan and complete checkout.
  • We email you before the trial ends.
  • When the trial ends without a subscription, the workspace becomes read-only. Nothing is deleted, and we keep your data for at least 30 days so you can subscribe or export it.

We may extend a trial at our discretion, and we may limit free trials to one per business.

20. Stripe and other third-party services

Payments are processed by Stripe, Inc. and its affiliates (“Stripe”). You enter your card or other payment details on pages hosted by Stripe; they are not sent to or stored on our servers. We receive only limited information from Stripe, such as your billing name, address, tax ID, the card brand and last four digits, and the status of each payment. Stripe handles payment data as described in the Stripe Privacy Policy (opens in a new tab). If you choose to save your payment details with a Stripe feature such as Link, Stripe’s own terms (opens in a new tab) apply to that feature.

We use other providers to run the Service, listed on our Subprocessors page. If you connect your own services, such as a custom domain, you remain responsible for them and for their terms. We are not responsible for third-party services we do not control.

21. Availability, maintenance and support

We work to keep the Service available, secure and fast, but we do not guarantee that it will be uninterrupted, error-free or available at any particular time, and we do not offer a service level agreement. The Service depends on the internet and on providers outside our control. We may need to carry out maintenance, which we try to schedule at quiet times and, for planned work that affects availability, announce in advance where we reasonably can.

Support is by email at support@ayebridge.com. We aim to reply within 1–2 business days. Priority email support is included on some plans. Current service information is published on our status page.

You are responsible for keeping your own copies of content that matters to you. The data export in your workspace settings makes this easy.

22. Suspension and termination

You can stop using the Service at any time by canceling your subscription and, if you wish, deleting your workspace from its settings.

We may suspend access to some or all of a workspace, remove or disable content, or terminate an account if:

  • you seriously or repeatedly break these Terms or our Acceptable Use Policy;
  • we must do so to comply with the law, a court order or a request from a competent authority;
  • your use creates a security risk or could harm the Service, other customers, Stripe or the public;
  • we receive a valid copyright notice, or a repeat-infringer threshold is reached under our Copyright and Takedown Policy.

Where reasonable, we will tell you first, explain why, and give you a chance to fix the problem. In urgent cases, such as malware or clearly illegal content, we may act first and tell you afterwards. If we terminate your account without cause, or because we stop offering the Service, we will refund the unused part of your current billing period. If we terminate it because you broke these Terms, no refund is due.

Sections that by their nature should continue after termination continue, including those on your content, our intellectual property, disclaimers, liability, indemnity and governing law.

23. Your data after a trial or subscription ends

  • Read-only, nothing deleted. When a trial or subscription ends, the workspace becomes read-only and is kept for at least 30 days. You can subscribe again at any time to unlock it.
  • Export. The workspace Owner or an Admin can export the workspace from its settings, including when it is read-only. The export contains your files and your projects, approvals, requests, comments and documents as JSON and CSV. The download link stays available for 7 days.
  • Deletion by us. We may delete a read-only workspace after the 30-day period. We will email the Owner at least 14 days before we do.
  • Deletion by you. If you delete your workspace or account, we remove the data from our live systems within 30 days. Copies in our providers’ rolling backups are overwritten within a further 30 days.

We keep billing and tax records, and records we need to establish or defend legal claims, for as long as the law requires, as described in our Privacy Policy.

24. Privacy and data protection

Our Privacy Policy explains how we handle personal data as a controller, for example account and billing data. For personal data that you or your client contacts put into your workspace, you are the controller and we process it on your behalf under our Data Processing Addendum, which forms part of these Terms when that data is covered by data protection laws such as the GDPR or UK GDPR.

25. Warranty disclaimer

We provide the Service with reasonable skill and care. Apart from that, and to the fullest extent the law allows, the Service is provided “as is” and “as available”. We disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the Service will meet your requirements or that content will never be lost.

Some jurisdictions do not allow certain warranties to be excluded, so some of these exclusions may not apply to you.

26. Limitation of liability

To the fullest extent the law allows:

  • neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, business opportunities, goodwill or data, even if it was told they were possible;
  • each party’s total liability arising out of or relating to these Terms and the Service is limited to the fees you paid us for the Service in the 12 months before the event that gave rise to the claim, or US$100 if you have not paid us anything.

These limits do not apply to your payment obligations, to your obligations under Indemnity, or to liability that cannot be limited by law, such as liability for fraud, gross negligence or wilful misconduct, or for death or personal injury caused by negligence.

27. Indemnity

You will defend and indemnify Sianipar Consults LLC and its members, managers and staff against third-party claims, and the resulting losses, damages, fines and reasonable legal costs, arising from your content, your use of the Service in breach of these Terms or the law, or a dispute between you and your clients or client contacts. We will tell you promptly about any such claim, let you control the defense, and cooperate reasonably at your expense. You may not settle a claim in a way that admits fault on our behalf without our consent.

28. Governing law and disputes

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Missouri, United States, without regard to its conflict-of-laws rules. The state or federal courts located in Missouri have exclusive jurisdiction, and each party agrees to their personal jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Before starting court proceedings, please contact us at legal@ayebridge.com so we can try to resolve the matter informally within 30 days. Either party may still seek urgent injunctive relief at any time. If you are a consumer, you may also have the right to bring a claim in the courts where you live and to rely on the mandatory consumer protection laws of your country.

29. Changes to these Terms

We may update these Terms. If a change is material, we will email the workspace Owner and show a notice in the app at least 30 days before it takes effect, unless the change is required by law sooner or only adds a new feature. The “Last updated” date and version at the top of this page show which version is current. If you do not agree to a change, you can cancel before it takes effect. Continuing to use the Service after that means you accept the updated Terms.

30. Notices

We send notices to the email address of the workspace Owner, or show them in the app. Notices to us must be sent to legal@ayebridge.com or by post to Sianipar Consults LLC, c/o United States Corporation Agents, Inc., 1028 N Kingshighway St, Cape Girardeau, MO 63701-3503, United States. An email notice is received when it is sent, unless we or you learn that it was not delivered.

31. General

  • These Terms, with the documents they refer to, are the whole agreement between you and us about the Service.
  • You may not transfer these Terms without our written consent. We may transfer them to a successor to our business, and we will tell you if we do.
  • If a court finds part of these Terms unenforceable, the rest stays in force.
  • If we do not enforce a right straight away, we have not given it up.
  • Neither party is liable for delays caused by events beyond its reasonable control, such as outages of the internet or of our providers.
  • Nothing in these Terms creates a partnership, employment or agency relationship.
  • These Terms are written in English. A translation, if any, is for convenience only.
